Affiliate and collaboration policy-

1. Enrollment & Approval

All affiliates and collaborators must be approved by UFO before participating in any campaign.

• Approval is granted at our sole discretion.
• We reserve the right to reject or remove any affiliate without explanation.
• Approval into the affiliate program does not guarantee acceptance into every campaign.

Participation in any campaign constitutes acceptance of this policy.

2. Campaign Terms Are Strictly Binding

Each campaign may have specific deliverables, posting timelines, commission rates, usage rights, and performance requirements clearly mentioned in the campaign brief or affiliate dashboard.

• All agreed timelines must be followed strictly.
• All deliverables must match the campaign brief exactly.
• Failure to meet agreed terms may result in reduced/no commission, withheld payment, or removal from the campaign.

Once agreed, campaign terms are binding.

3. Commission Structure

Commissions are calculated based on net sales, meaning:

Total order value
minus discounts
minus refunds
minus chargebacks
minus taxes
minus shipping (unless stated otherwise)

• Commission rates may vary per campaign.
• UFO reserves the right to modify commission structures at any time with/without notice.

4. Payment Terms & Delays

• Payments are processed only after the refund/return window has closed.
• A minimum payout threshold may apply.
• Payments are issued according to the schedule stated in the campaign or affiliate dashboard.

Delays may occur due to:

• Refund investigations
• Fraud checks
• Tracking discrepancies
• Banking or third-party processing delays

UFO is not liable for delays caused by external systems, banks, payment gateways, or force majeure events.

5. Tracking & Attribution

Affiliate commissions are tracked via:

• Unique affiliate links
• Discount codes
• Platform tracking systems

If tracking errors occur due to:

• Customer using ad blockers
• Cookies being disabled
• Incorrect link usage
• Technical errors outside our control

UFO cannot guarantee commission attribution.

All tracking decisions made by UFO are final.

6. Prohibited Activities

The following actions are strictly prohibited:

• False claims or misleading advertising
• Paid ads using UFO brand name without written permission
• Trademark bidding
• Coupon site exploitation without approval
• Discount leakage outside agreed channels

Violation may result in:

• Immediate termination
• Commission forfeiture
• Permanent ban from future collaborations
• Legal action if required

Affiliates have no authority to bind UFO in any agreement or make representations on behalf of the brand.

7. Content & Brand Usage

Affiliates may only use brand materials provided or approved by UFO.

• Logo misuse is prohibited.
• Altering brand visuals without permission is not allowed.
• Content must align with UFO brand standards.

UFO reserves the right to request edits or removal of content that:

• Damages brand image
• Misrepresents product claims
• Contains offensive, illegal, or inappropriate material

UFO is not responsible for platform-related suspensions, algorithm changes, or content removals that impact campaign performance.

8. Intellectual Property & Usage Rights

Unless otherwise agreed in writing:

• Content created by collaborators may be re-shared by UFO for marketing purposes.
• Paid collaborations may include usage rights for ads, website, or social media.

Specific licensing terms will be stated in individual campaign agreements or discussed with the collaborator.

9. Refunds, Returns & Commission Adjustments

Commissions will not be paid on:

• Refunded orders
• Chargebacks
• Fraudulent purchases
• Orders canceled before fulfillment

If commission has already been paid for a refunded order, UFO reserves the right to deduct it from future payouts.

10. Termination of Partnership

UFO may suspend or terminate any affiliate or collaborator at any time due to:

• Policy violations
• Brand misalignment
• Fraud suspicion
• Inactivity
• Failure to deliver campaign requirements

Upon termination:

• Pending commissions may be withheld pending investigation.
• Access to affiliate dashboards may be revoked immediately.

11. Confidentiality

Affiliates must not disclose:

• Internal commission structures
• Private campaign terms
• Business strategies
• Customer data

Breach of confidentiality may result in legal action.

12. Independent Contractor Status

Affiliates and collaborators are independent contractors.

Nothing in this policy creates:

• Employment
• Legal partnership
• Joint venture
• Agency relationship

Affiliates are solely responsible for their taxes and legal compliance.

13. Dispute Resolution

If you believe a commission error or issue has occurred:

• You must notify UFO within 3 days of the payout date.
• Claims submitted after this period may not be reviewed.

All decisions made by UFO regarding tracking, commissions, or campaign compliance are final.

14. Non-Disparagement Clause

Affiliates agree not to publicly defame, criticize, or damage the reputation of UFO during or after the partnership.

15. Data Protection & Privacy

Affiliates must not collect, store, or misuse customer data obtained through UFO promotions.

16. Limitation of Liability

UFO’s total liability under this agreement shall not exceed the total commissions paid to the affiliate in the preceding 3 months.

17. Modification of Policy

UFO reserves the right to update or modify this policy at any time without prior notice.

Continued participation after changes constitutes acceptance of the updated terms.

18. Governing Law

This policy shall be governed by applicable laws based on the registered jurisdiction of UFO.
